Share capital is the entire amount of shareholders in rupee terms which is there in a company A share is a piece of that amount , share is in number terms , share value in rupee terms For example 1)Mr. A purchased 100 shares of Rs 10 each so here number of shares = 100 share face value = 10 and share amount = 100*10 = 1000 2)A ltd has issued 1000 shares of 10 each Here share capital for A ltd is 10,000 Rs

Agree to your point. However, for companies which mention their state as TN / Maharashtra, usually there is tendency to write ROC's jurisdiction in the MOA itself. So, alternation is applicable in such cases. Sir,my question is that, if I am involved in outsourcing services, of accounts bookkeeping means I raised bill to a foreign client, same work forward to Indian CA Firm, they raise bill to me, in such a way on these transactions I earn profit , can i opt for 44ADA if my total receipts is less than 50 lacs

As long as you take the profession of accountancy it would come under Sec 44AA... how you get the work done (employ individuals or firms or free lancers, etc) does not matter
