Sec 25 - Deemed Prospectus
Corporate & Other Laws
answered on 17-Aug-22 17:23
Eg:- I bought 100000 shares of A Ltd. through private placement 10 years ago. Now I bought another 100000 shares through private placement (I haven't paid full consideration yet). When i offer for sale of 50000 shares, can the document which I issue be considered as Deemed Prospectus? Can we differentiate the shares i bought 10 years ago and now?
latest answer
Correctly Explained by Yazhini C V here. To add on to the explanation, there is no difference between shares purchased 10 years ago or now per se. But for the purpose of Deemed prospectus, we need to check if the shares being offered for sale to the public have any pending consideration to satisfy requirement of Sec 25.
