For example, Taxability on cancellation charges - assessed as the principal supply Does it mean if the principal supply is taxable then cancellation charges are also taxable and vice versa Is my understanding correct? Correct me if I am wrong?

ESOP Rule 12 of companies ( share capital and debentures) rules, 2014 shall apply to unlisted company. Listed company while issuing shares under ESOP shall follow SEBI regulations,2014 Is it mean that , For listed company, rule 12 not Apply and they only need to follow SEBI regulations EXPLAIN!

If the delcredre agent is covered under Schedule I then the interest collected shall be included in the value of supply. Further, delcredre agent is covered under Schedule I only if he is supplying goods on behalf of the principal and issuing invoice in his own name.

In point 3 of addition requirements to be stated in deemed prospectus can we interpret that only a director of a company can make such offer under section 25 or is it just that when a director makes such offer it is to be stated in the prospectus?
