No subsidiary company shall either by itself or through nominee shall hold shares in holding company. No holding shall allot share or transfer shares to its subsidiary company. Exception:cases where subsidiary company can hold shares in holding company. a) Subsidiary holds such shares as a trustee b) subsidiary company holds such shares as a legal representative of deceased member of holding company. c) subsidiary holds shares in holding company even before it becomes subsidiary Note: Subsidiary shall have a right to vote in meeting of holding company only in respect of shares held as a trustee or legal representative In this isn, it is allowed that subsidiary company can hold shares in holding company as a trustee as per the exception stated and even have a right to vote in the meeting of the holding company.

What is the difference between Deposits and debentures?

In simple words, Deposit is "ANY AMOUNT OF MONEY received by company (Other than list specified by RBI in the Rules) Whereas, Debentures is one type of loan that company takes from various parties called debenture holders. Here, a big loan is broken in small units called debentures and issued as securities to debenture holders. Some types of debentures can also categorize as deposits (refer Acceptance of deposits Rules point (vii) (xi) (xia)) Not all Debentures are deposits
