Change in registered office within same state shifting from jurisdiction of ROC to another

As underlined in the picture, there is a contradiction between Section 12(6) of the Companies Act and Rule 28 of the Companies (Incorporation) Rules. I am confused about both. • Section 12(6): RD Order within 30 days and filing within 60 days. • Rule 28: RD Order within 15 days and filing within 30 days. Additionally, Rule 28 talks about an order approving the alteration of the MOA for the transfer of the registered office within the same state. However as per my knowledge, the MOA does not get altered for a change within the same state, as Clause II of the MOA contains only the name of the state. Please help me clarify the doubt.

Commission per transaction to agent abroad for sale of residential flats in India exceeding USD 250000 OR 5% of inward remittance whichever is more prior approval of RBI is required. My doubt is when agent are available to sell the flat why should I appoint a person outside India. I am not clear on this point

MD remuneration

MD remuneration is based on net profit of the company. Assuming that Mr X is appointed as a MD on the month of April 2024 how much profit will company earn I can calculate after closing my book on 31st March 2025 . So how can I fix MD remuneration on April 2024. Kindly help me in understanding the concept

There is some part which is fixed and remaining is paid as variable. The overall remuneration should not exceed the limit specified under the companies act.

Clarification in Oppression and mismanagemetn

As per Section 241 any member of the company may complain that the affairs of the company have been conducted in a manner prejudicial to public interest or oppressive to member or prejudicial to interest of the company. Here member means Directors of the company I am not clear in understanding the same. Prejudicial to interest of the the company means shareholder.

Members means shareholders. So if the affairs of company is conducted against the views/concerns of members or there is misuse of powers by Management of the company then sec 241 can be invoked and appeal can be filed to NCLT.
